Terms & Conditions of Service

These Terms govern the engagement between Excelion Research Solution ("Excelion", "we", "us") and the Client. By engaging our consultancy or research support services, you acknowledge and agree to the professional standards and legal obligations outlined below.

Acceptance of Terms

1.1 By accessing or using the services provided by Excelion Research (the "Company"), including but not limited to strategic consultancy, research support, regulatory advisory, and operational services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms").

1.2 These Terms constitute a legally binding agreement between you and the Company. If you are entering into this agreement on behalf of a legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

1.3 Excelion reserves the right to update or modify these Terms from time to time. Continued use of the Services following any such update constitutes acceptance of the revised Terms.

Professional Services

2.1. Scope of Work. The specific services to be provided by Excelion shall be defined in one or more Statements of Work (SOW), engagement letters, or service agreements executed between Excelion and the Client.

2.2. Standard of Care. Excelion shall perform the Services in a professional and workmanlike manner consistent with generally accepted industry standards and applicable regulatory practices.

2.3. Client Obligations. The Client agrees to provide timely access to all necessary information, documentation, personnel, and facilities required for Excelion to properly perform the Services.

Regulatory Compliance

Excelion conducts its operations in accordance with applicable data protection and regulatory requirements in India, including the Digital Personal Data Protection Act, 2023 and relevant provisions of the Information Technology Act, 2000.

Where applicable, Excelion may also follow internationally recognized privacy and research governance standards depending on the jurisdiction and nature of the engagement.

Excelion maintains appropriate documentation practices, internal review mechanisms, and audit trails to support transparency and accountability in its advisory and research support activities.

Intellectual Property

3.1. Ownership. Unless otherwise agreed in writing, all deliverables created specifically for the Client under an executed SOW shall become the property of the Client upon full payment of all applicable fees.

3.2. Pre-existing Intellectual Property. Excelion retains all rights, title, and interest in its pre-existing intellectual property, including proprietary methodologies, frameworks, templates, tools, and operational know-how used in delivering the Services.

3.3. License. Excelion grants the Client a perpetual, non-exclusive, non-transferable license to use such pre-existing intellectual property solely for the Client’s internal business purposes as incorporated within the deliverables.

Limitation of Liability

4.1 To the maximum extent permitted by applicable law, Excelion shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm.

4.2 Excelion’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by the Client to Excelion for the specific Service giving rise to the claim during the one (1) month preceding the claim.

Important: Confidentiality Agreement

Both parties agree to maintain strict confidentiality regarding any proprietary or confidential information exchanged during the course of the engagement.

Confidential information includes without limitation: business plans, financial information, research methodologies, operational data, technical documentation, client or partner information

Confidentiality obligations shall survive termination of the engagement.

Confidentiality

5.1 Protection of Confidential Information The recipient shall protect such confidential information using at least the same degree of care it uses to protect its own confidential information of a similar nature, but not less than reasonable care.

5.2 Compelled Disclosure If disclosure of confidential information is required by law, regulation, or court order, the recipient shall provide prior written notice to the disclosing party where legally permissible.

Termination

6.1 Either party may terminate an active Statement of Work (SOW) for convenience by providing thirty (30) days’ written notice to the other party.

6.2 Upon termination, the Client shall pay Excelion for all Services performed and reasonable expenses incurred up to the effective date of termination.

Governing Law

7.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.

Legal Jurisdiction

All disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
